A vibrant midsize West County law firm is seeking a Corporate Law Attorney with at least three (3) years of experience to support its corporate and transactional caseload.

This role requires expertise in commercial contracts and managing these transactions from inception through closing.

The successful candidate will provide practical legal advice and case management to clients, ensuring compliance with all federal, state, and local laws.

RESPONSIBILITIES:

- Communicate effectively with clients to understand their needs and provide legal guidance
- Conduct thorough legal research using tools such as Lexis-Nexis and Westlaw to support case preparation
- Draft and review legal documents, ensuring clarity and compliance with relevant laws
- Analyze contract terms, research relevant law, summarize legal meaning for clients, and revise as needed to promote client interests
- Manage the full-cycle of commercial contract transactions for purchase agreements, ancillary agreements with mergers and/or acquisitions, review due diligence materials, and manage timelines for contractual compliance
- High level partner support which includes, but is not limited to providing summaries and opinions related to client requests, researching law and fact-patterns, and participating in client meetings
- Analyze complex legal issues and develop strategies for resolution, including negotiation and litigation
- Stay updated on changes in laws and regulations relevant to corporate law and advise partners and clients accordingly
