Review, draft, and negotiate various contracts and agreements, including without limit, client contracts, vendor agreements, and partnership agreements. Ensure compliance with contract terms and conditions, protecting The Missouri Bar’s interest

Recommend policy and procedure updates and assist with policy and procedure development

Participate in meetings of the Board of Governors and its Executive Committee, and other meetings of staff or members of The Missouri Bar, to address legal issues

Manage and coordinate special projects of strategic concern and/or legal importance to The Missouri Bar

Proactively look for solutions and better practices to mitigate risk and maximize legal rights

Prepare and manage an annual budget for risk management

Required Education, Experience, and Skills: 

The General Counsel must be licensed to practice law in Missouri and be a member of The Missouri Bar in good standing (or be eligible for admission to practice in Missouri within a reasonable time after employment). A juris doctorate degree from an American Bar Association-accredited law school and ten or more years of experience practicing law are required. Five or more years of experience as a general counsel or in a senior legal leadership role are preferred. Understanding of corporate governance and demonstrated experience working with a governing body are also preferred. Proven ability to think strategically, analyze complex legal issues, and provide practical solutions.

Office of Legal Ethics Counsel is seeking a full-time staff counsel to assist fellow Missouri lawyers by providing informal advisory opinions about lawyers’ prospective conduct under the Missouri Rules of Professional Conduct.  Pursuant to Rule 5.30(c), the Legal Ethics Counsel, on behalf of the Advisory Committee, may provide informal advisory opinions interpreting Missouri Supreme Court Rules 4, 5, and 6 in response to telephone and written ethics questions from lawyers. 

The primary role of the staff counsel is to answer these ethics questions, and the ideal candidate must have excellent communication, writing, and research skills, as well as sound judgment, to ensure that each ethics inquiry is handled consistently and professionally.  A keen interest in listening, asking questions as appropriate, researching, and problem solving is required for this position.  The staff counsel position reports to the Legal Ethics Counsel and works closely with the Legal Ethics Counsel to ensure consistency and professionalism.

Other duties as assigned and as time permits may include assisting in developing ethics educational information for lawyers such as CLE programs, website resource pages, articles, or assisting the Legal Ethics Counsel with other responsibilities of this office pursuant to Rules 4, 5, and 6

One component of the faculty position would be teaching a Business Organizations course. Beyond that, there is flexibility for candidates with business-oriented research and teaching interests to fashion a teaching package that might include a combination of courses from such subjects as Antitrust Law, Business Finance, Mergers and Acquisitions, Securities Regulation, Taxation of Corporations, co-teaching in the Transactional Lawyering Skills Lab course; and other courses such as Health Care Law or Business Planning where knowledge of organizational structures strongly overlaps. The teaching package might also include participation in one of our innovative projects-based interdisciplinary entrepreneurship courses operated out of the Law School-led Center for Law, Entrepreneurship & Innovation, which connects faculty, staff, and students from multiple UMKC academic units and other programs with projects and in many cases collaborators from other institutions and organizations. Many of the Law School’s entrepreneurship endeavors have been supported by funding from the Ewing Marion Kauffman Foundation.
